Amazon Spirii Terms and Conditions
These Terms and Conditions (the “Terms”) govern the relationship between an Amazon Freight Partner (AFPs) and Spirii ApS ("Spirii", Danish Business Reg. No. DK-40657339, regarding the use of the Amazon Charging Platform operated by Spirii. By signing up to the Amazon Charging Platform operated by Spirii, and using the Services, the Amazon Freight Partner (AFP) agrees the following terms of use of the Services.
Definitions
“AFP” shall mean an Amazon Freight Partner utilizing Spirii’s charging system.
“Spirii” shall mean the provider of the charging point management services.
“Charging Consumption” shall mean the total energy utilized by AFPs at Amazon charge points.
Service
Spirii enables Amazon Freight Partners and other validated 3rd party carriers to access registered Amazon charge points and pay for electricity consumed.
AFPs will be given dedicated charge keys (RFID tokens) for authentication at the charge point.
By signing up with Spirii and providing the necessary billing information, Spirii is able to match a charge key with the AFP. Energy (kWh) measured by the dedicated charge key will be deemed consumed energy.
The price for charging will be defined by Amazon at its sole discretion.
Furthermore, Spirii may enable Amazon to operate semi-public depot sites by allowing delivery service partners to charge and pay for electricity.
Price for Charging, Invoicing
The price paid for charging sessions to be paid by the AFPs is defined by Amazon.
Spirii will invoice the AFP monthly for charging consumption at any Amazon location at the price defined by Amazon. Invoices will be sent within the first week of the following month. The AFPs must pay by the end of the 14 days.
Spirii warrants the compliance of the invoice with applicable regulations relating to invoicing, including requirements relating to name, address and VAT registration number and other details which constitute a full VAT invoice.
Amazon Freight Partners agrees to notify Spirii immediately if their VAT registration number changes or ceases to be VAT registered.
Spirii reserves the right to suspend services to AFPs that fail to pay.
Should an AFP default, Spirii will notify Amazon to escalate the issue.
Additional Terms
Amazon and Spirii each process the AFP company name, billing address, zipcode, city, country, VAT number, email, phone, billing contact name, and billing contact email of the AFP and end-users affiliated with the AFP.
The AFP agrees that Amazon accesses analytics (including real-time monitoring), usage statistics, energy consumption, and operational metrics relating to the AFP. The AFP also agrees that Spirii may transfer such data to Amazon.
While Amazon and Spirii strive to always make the charging services available, neither Amazon nor Spirii is liable for damages in any respect more than charging session costs.
Each of Amazon and Spirii may terminate the services to the AFP with reasonable notice. Amazon and Spirii may also at their discretion change, develop or amend Spirii Connect and services offered by Spirii Connect from time to time.
Nothing in this Agreement serves to restrict any rights of the AFP under applicable law.
This Agreement and all conflicts arising out of the Agreement and/or otherwise between the Parties shall in all respects be governed by, and construed and interpreted, in accordance with the laws of the Kingdom of Denmark, and jurisdiction shall be with the courts of Copenhagen, Denmark.
