Terms of Use for Spirii Connect

Definitions

• "User" refers to any individual who accesses or uses the Connect portal.
• "Connect" refers to the Connect web portal and all associated services and features.
• "Services" refers to the functionalities and tools provided through Connect.

User Eligibility

To use Connect, you must be a physical person and at least 18 years of age or the age of majority in your jurisdiction. By using Connect, you represent and warrant that you meet these eligibility requirements.

Use of Connect

Spirii grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Connect for its intended purposes. Your use of Connect is free of charge.

User Obligations

As a User, you agree to:

• Not reverse engineer, decompile, or disassemble any part of Connect.
• Not engage in any unauthorized access or hacking of Connect or its associated systems.
• Maintain the confidentiality of your login credentials and notify Spirii immediately if you suspect any unauthorized use of your account.
• Ensure that all customer information provided is accurate, complete, and up-to-date.
• Comply with all applicable data protection and privacy laws when handling customer information.
• Use the platform and services solely for legitimate business purposes and in accordance with these Terms.

Data Privacy and Security

Spirii is committed to protecting the privacy and security of customer information. We will collect, use, and store personally identifiable information (personal data) in accordance with applicable regulations. Users are responsible for implementing appropriate security measures to protect information relating to data subjects appearing from Connect.

Pricing

Users can manage tariffs and billing for EV charging services through Connect. You agree to set and manage tariffs in compliance with applicable regulations and to provide transparent billing to customers. Spirii is not responsible for any disputes arising from billing inaccuracies or tariff mismanagement.

Service Availability

You acknowledge that Connect may experience downtime or interruptions due to maintenance, updates, or other factors. Spirii does not guarantee uninterrupted access or performance of Connect and is not liable for any downtime or service interruptions.

Application Programming Interface (API) Access and Usage

Spirii provides Application Programming Interfaces (APIs) that allow Users to programmatically access certain functionalities of the Spirii platform (the "API"). By using the API, you agree to comply with these Terms of Use and any additional guidelines provided by Spirii regarding API access.

Grant of License

Subject to your compliance with these Terms, Spirii grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the API solely for the purpose of integrating with the Spirii platform and for legitimate business purposes. This license does not grant you any ownership rights in the API or any related intellectual property.

API Key and Authentication

To access the API, you may be required to obtain an API key or other authentication credentials. You agree to:

• Keep your API key confidential and secure.
• Not share your API key with any unauthorized third parties.
• Notify Spirii immediately of any unauthorized use of your API key or any other breach of security.
• Use the API only in accordance with the documentation provided by Spirii.

Usage Limits and Rate Limiting

Spirii may impose limits on the number of API calls you can make within a specified time period (rate limiting). You agree to adhere to these limits and understand that exceeding them may result in temporary or permanent suspension of API access. Spirii reserves the right to modify these limits at any time.

Prohibited Uses

You agree not to:

• Use the API for any illegal or unauthorized purpose.
• Attempt to reverse engineer, decompile, or disassemble the API or any part thereof.
• Use the API in a manner that could damage, disable, overburden, or impair the Spirii platform or interfere with any other party's use of the API.
• Use the API to access or collect data in a manner that violates any applicable laws or regulations.

Data Handling and Privacy

You are responsible for ensuring that any data accessed or processed through the API complies with applicable data protection and privacy laws. You agree to handle all customer data in accordance applicable regulations, and to implement appropriate security measures to protect such data.

Modifications to the API

Spirii reserves the right to modify, suspend, or discontinue the API or any part thereof at any time, with or without notice. Spirii will not be liable for any changes that may affect your integration or use of the API. It is your responsibility to monitor any updates to the API documentation.

Termination of API Access

Spirii reserves the right to terminate or suspend your access to the API at any time, with or without cause, and without prior notice. Upon termination, your right to use the API will immediately cease, and you agree to cease all use of the API.

Limitation of Liability

All Services provided through Connect are offered on an "as-is" basis.

Spirii disclaims all warranties, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement. Spirii is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of Connect, including but not limited to damages related to electrical issues, physical damage, or service-related problems.

The Customer is solely responsible for the accuracy, completeness, and business consequences of any data or configuration changes made within the Connect platform, including but not limited to: reimbursement rates, beneficiary linkage, tariff inputs, and charge point associations.

Spirii shall not be liable for any financial losses, compliance violations, disputes, or other damages resulting from such configurations or changes made by the Customer.

Spirii shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the API, including but not limited to any loss of data, revenue, or profits resulting from API access or integration. You acknowledge that the API may not be error-free and that Spirii does not guarantee the availability or performance of the API.

Modifications to Terms

Spirii reserves the right to modify these Terms of Use at any time. Any changes will be effective immediately upon posting on Connect. Your continued use of Connect after any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

Law and Venue

Your usage of Connect shall be governed by the laws of the Kingdom of Denmark. Disputes shall be settled by the courts of the City of Copenhagen, Denmark.
